  • Committee’s powers:
    In accordance with the authorization of the Board of Directors, the Committee shall faithfully perform the following duties and powers with the care of a good manager but not limited to the following matters, and report to the Board of Directors on a regular basis (at least once a year):
    1. Formulation of the company’s sustainable development policy.
    2. Formulate the goals, strategies, implementation plans and preparation procedures for sustainability indicators for each sustainability issue. Sustainability issues include sustainable governance, integrity management, environment and society, sustainability information, etc.
    3. Review, track and revise the implementation and effectiveness of the company's sustainable development, and report to the board of directors regularly.
  • 4. Pay attention to issues of concern to all stakeholders and supervise communication plans, and formulate annual identification of major sustainability issues.
    5. Review risk management policies, integrate risk management assessments, review the adequacy of its management structure, management strategies (including risk appetite or tolerance), management reports, supervise improvement mechanisms, and regularly report risk management implementation status to the board of directors. The aforementioned risks include but are not limited to information security, etc.
    6. Assist and supervise the implementation of internal controls of each sustainable management authority unit.
    7. Regularly evaluate the reliance on third-party sustainable information.
    8. Evaluate whether to adopt or apply sustainable reporting framework or standards, including implementation impact assessment and progress, including promoting the introduction of IFRS sustainable disclosure standards.
    9. The members of this committee are appointed by resolution of the board of directors and are composed of the company's chairman and senior managers (including but not limited to the chief operating officer (COO)) and independent directors, and more than half (inclusive) of the committee members are independent directors. Unless otherwise provided by laws or the company's articles of association and rules, the term of office of this committee shall be from the date of appointment by resolution of the board of directors to the date on which the director's term of office expires, he or she resigns from the position of the committee or director, or the board of directors makes another resolution to replace the original director as a member of this committee.
    The environmental group, governance and social group and sustainable development executive office are established under this committee to ensure the promotion and implementation of corporate sustainable development-related work.
    10. Group responsibilities: In order to implement corporate sustainability and risk management and other related work, an environmental, governance and social functional group and a sustainable development executive office are established under this committee. The members of the former group are composed of relevant business managers assigned by the committee, and are responsible for implementing and handling matters resolved and directed by the committee. The latter is responsible for integrating, coordinating and tracking the work content (allocation, execution and operation, etc.) of each functional group.
        10.1 Environmental Team: Provide the company's environmental sustainability-related policies and plans; implement and promote environmental sustainability-related work and provide information to the execution team; report implementation status to the Sustainability Development Committee.
        10.2 Governance and Social Group: Provide the company's policies and plans related to social responsibility, human rights protection, and honest management; implement and promote the company's corporate responsibility, corporate governance, and honest management-related work and provide information to the execution team; report the implementation status to the Sustainability Committee.
        10.3 Sustainability Executive Office: Formulate and revise the company's sustainability-related measures (including but not limited to risk management, information security and other related regulations), be responsible for sustainable information management policies, comply with relevant laws and regulations and international standards for sustainable information disclosure, fully disclose relevant and reliable sustainability information to enhance the transparency of sustainable information, and implement and improve the company's relevant work in the aspects of sustainable development, risk management and information security.
    11. The Sustainability Executive Office shall manage business, compile execution plans or other sustainability-related matters, and report implementation results to this committee and the Executive Office.
  • Materiality principle: Analyze based on the materiality principle of the sustainability report (the scope of the risk assessment includes the company's important subsidiaries), collect sustainability-related issues involved in the organization's internal and external operations, summarize the sustainability issues belonging to Major-Power Technology, and identify the main stakeholders. , to understand the degree of concern of stakeholders for various issues, and at the same time, Major-Power Technology measures the positive/negative impact of each issue on the company's operations. After statistical analysis, it finally determines the company's major themes, assesses its possible risks, formulates relevant management policies, and collects and discloses internal information and data.
